These Terms of Use (“Terms”) govern your access to and use of the Lay by the Lake type design tool, website, accounts, font-generation features and related services (together, the “Service”). By accessing or using the Service, creating an account or purchasing a licence, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.

[1] The Service

Lay by the Lake is a browser-based type design tool for creating, modifying, previewing and exporting custom typefaces. The Service may include features for:

Some parts of the Service may be available free of charge. Font-file exports and certain other features may require a paid licence. The Service is under active development. Features, available formats, limits and functionality may be added, changed or removed as the tool develops. The operator may modify, maintain, suspend or discontinue all or part of the Service for technical, security, legal, operational or development reasons.

Certain features of the Service may require a user account. You are responsible for:

You must not share, sell, transfer or make your account available to another person in order to avoid licensing, payment or usage restrictions. A Personal License is associated with the person and account that purchased it unless expressly stated otherwise. You must notify Lay by the Lake if you reasonably believe that your account has been accessed without permission. The operator may suspend access to an account where reasonably necessary to investigate suspected misuse, fraud, security issues or breaches of these Terms.

[3] Projects and storage

The Service may allow projects and project information to be stored through your account or locally in your browser. The exact way information is processed and stored may depend on the feature being used. You are responsible for keeping independent copies of any font files, images, source material or other work that you do not want to lose. Lay by the Lake is not intended to function as a permanent backup or archival service. Projects or locally stored information may be lost as a result of, for example:

[4] Your content

You retain all rights you already hold in text, artwork, project names, images, references and other material that you provide to the Service (“User Content”). You are responsible for ensuring that you have all rights, licences and permissions necessary to use your User Content. Where User Content must be stored or processed by the Service in order to provide a feature, you grant Lay by the Lake a limited, non-exclusive licence to process, reproduce, store and transmit that content only as reasonably necessary to provide, maintain and secure the Service. This does not transfer ownership of your User Content to Lay by the Lake. You must not use the Service with content that:

[5] Ownership of the Service

Lay by the Lake retains all rights in the Service and its original components. This includes, where protected by applicable intellectual property law:

These components are referred to in these Terms as the “Tool Materials”. Purchasing a licence or creating a font using the Service does not transfer ownership of the Tool Materials to you. Your rights to use font files generated using those Tool Materials are instead governed by the licences described in these Terms.

[6] Personal License

A Personal License may be purchased for the price displayed at the time of purchase. Unless expressly stated otherwise at checkout, the Personal License is purchased through a one-time payment and does not create a recurring subscription. No recurring fee will be charged solely for maintaining a Personal License. Subject to these Terms, a Personal License allows you to generate and export font files using the Service within the export allowance attached to your licence. The Personal License is personal, non-exclusive and non-transferable. It permits the use of exported fonts for:

The Personal License does not permit commercial use as defined in Section 9. The ability to generate or download a font file does not by itself grant commercial usage rights.

[7] Font export allowance

Unless a different allowance is shown at the time of purchase, a Personal License includes up to 100 variable TTF exports per calendar month. The allowance resets at the beginning of each calendar month. Unused exports do not carry over into later months unless expressly stated otherwise. An export means a request through the Service that generates a downloadable font file. Reasonable technical measures may be used to enforce export allowances. You may not circumvent an export allowance by:

The operator may offer different prices, export allowances or licence conditions to future customers. A change to pricing or allowances offered to future customers does not by itself alter a licence already purchased by an existing user. Any material change affecting rights attached to an existing paid licence will be made only where permitted by applicable law and with any notice required by law.

[8] Rights in exported fonts

A font file generated through the Service is referred to as an “Exported Font”. The Tool Materials contained within or used to generate an Exported Font remain the property of Lay by the Lake or their respective rights holders. However, subject to the applicable licence, you are granted the right to use the Exported Font itself for the purposes permitted by these Terms. You retain any rights you may hold in independently protectable original contributions or modifications that you make through the Service. Lay by the Lake does not claim ownership of your independently created creative contribution merely because the Service was used to create it. No licence granted under these Terms gives you ownership of:

A Personal License permits use of Exported Fonts only for the personal and non-commercial purposes described in Section 6. A Commercial License expands those rights only to the extent expressly stated in that Commercial License.

[9] Commercial use

Commercial use of an Exported Font is not permitted under the Personal License. A separate Commercial License must be obtained before an Exported Font is used commercially. Commercial use includes any use that directly or indirectly forms part of, supports, promotes, advertises or contributes to a commercial activity. This includes, without limitation:

Whether a project generates profit is not the only factor in determining whether it is commercial. Work may still be considered commercial where it promotes or supports a business, product, service or professional activity without directly generating revenue.

Commercial Licenses are granted separately from the Personal License. Commercial licensing may be priced according to factors including:

Unless expressly included in the Commercial License, commercial permission does not automatically include the right to:

A business, studio or agency may use Lay by the Lake privately for testing, exploration and internal evaluation under a Personal License, provided that the resulting font is not published or used commercially. A Commercial License is required before such work is used in a live commercial project or supplied as part of a commercial deliverable. To request a Commercial License, contact hello@laybythelake.com with a description of the project and intended use. Commercial permission is valid only when expressly granted in writing. Access to the Service, payment for a Personal License, possession of an Exported Font, silence from Lay by the Lake or the technical ability to export a font does not constitute permission for commercial use.

[11] Non-exclusive outputs

Lay by the Lake is based on shared templates, design systems, parameters and construction methods. Different users may therefore independently create fonts that are identical, substantially similar or visually related. Using or exporting a particular combination of settings does not grant you exclusive rights over:

Lay by the Lake may continue to make the same templates, parameters, systems and creative possibilities available to other users. The operator does not guarantee that an Exported Font is unique. The operator does not guarantee that another user has not previously created, or will not later create, a similar or identical result. Nothing in this section prevents you from holding rights in original creative contributions where those rights arise independently under applicable law.

[12] Font names, trademarks and third-party rights

You are responsible for names, trademarks, branding and other identifiers associated with an Exported Font. Lay by the Lake does not guarantee that:

Before publishing, selling, licensing or using a font commercially, you are responsible for carrying out any searches, clearance or professional advice that you consider appropriate. You must not knowingly use the Service or an Exported Font in a way that infringes third-party rights.

[13] Sharing and distributing font files

A Personal License does not permit you to publicly distribute, sell or sublicense an Exported Font. You may make reasonable copies of an Exported Font for your own permitted use. You may not upload an Exported Font to public font libraries, file-sharing platforms, marketplaces or repositories under a Personal License. Where a Commercial License permits use by a client, developer, printer, production partner or other third party, the font may be supplied only to the extent reasonably necessary for the licensed project and subject to any conditions stated in that Commercial License. Providing a font file to another party does not transfer ownership of the underlying Tool Materials.

[14] Payments

Prices are displayed before a purchase is completed. Unless clearly identified otherwise, the Personal License is sold through a one-time payment rather than a subscription. Payment may be processed by a third-party payment provider. Lay by the Lake does not require you to provide full payment-card details directly to the operator where payment information is handled by the payment provider. Taxes may be added or included where required by applicable law. A licence is granted only after payment has been successfully completed, unless expressly stated otherwise. If a payment is cancelled, reversed, refunded because of fraud, subject to a valid chargeback or otherwise not successfully received, access associated with that purchase may be suspended or revoked to the extent permitted by law.

[15] Consumer rights, withdrawal and refunds

Nothing in these Terms limits rights granted to consumers under mandatory consumer protection law. If you are entitled to a statutory right of withdrawal, cancellation, refund, repair, price reduction or another remedy, those rights continue to apply regardless of anything in these Terms. Any information, consent or acknowledgement required before immediate delivery of digital content or digital services will be presented as part of the relevant purchase flow where required. Except where required by applicable law or expressly offered by Lay by the Lake, a completed purchase is not otherwise refundable simply because you:

[17] Termination of a licence

A licence may be suspended or terminated if you materially breach these Terms. Where appropriate, Lay by the Lake may provide notice and a reasonable opportunity to correct a breach before terminating a paid licence. Immediate suspension or termination may be appropriate in cases involving fraud, deliberate circumvention of payment systems, security threats, unlawful use or serious infringement. If your Personal License terminates because of a breach, you must stop any use of Exported Fonts that was not authorised under these Terms. If a Commercial License is terminated, the consequences of termination will also depend on the terms of that Commercial License. Termination does not affect rights or remedies arising from an earlier breach. Where permitted by the applicable licence and law, termination of access to the online Service does not automatically delete files already lawfully exported to your own device.

[18] Availability of the Service

Lay by the Lake is an evolving online tool. The operator aims to keep the Service available but does not guarantee uninterrupted access. The Service may temporarily or permanently become unavailable because of:

A one-time Personal License is not a guarantee that the online Service will operate forever. However, discontinuation of the Service does not by itself revoke permission already granted for the lawful use of font files exported before discontinuation. Any mandatory consumer rights relating to discontinuation or changes to a paid digital service remain unaffected.

[19] Font compatibility and technical limitations

Fonts and variable fonts may behave differently depending on the software and environment in which they are used. Exported Fonts may render or behave differently across:

You are responsible for testing an Exported Font in the environments in which you intend to use it. The ability to generate a font successfully does not guarantee compatibility with every third-party program or production workflow.

[20] Third-party software and infrastructure

The Service may rely on third-party software, libraries, infrastructure, hosting providers, authentication providers, payment processors, analytics services or other technical services. Third-party components remain subject to their own licences and terms where applicable. The availability, security or operation of third-party services may change independently of Lay by the Lake. Further information about service providers that process personal data is provided in the Privacy Policy. Nothing in these Terms transfers ownership of third-party software, typefaces, libraries or other components to you.

[21] No warranty

The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law. Lay by the Lake does not guarantee that:

You should review and test any Exported Font before relying on it in production. Nothing in these Terms excludes a warranty, guarantee or statutory right that cannot lawfully be excluded.

[22] Limitation of liability

To the maximum extent permitted by applicable law, Lay by the Lake and its operator are not liable for indirect, incidental, special or consequential losses arising from the use of or inability to use the Service. This may include loss of:

Lay by the Lake is not responsible for losses resulting from your failure to keep independent copies or backups of important work. Lay by the Lake is not responsible for claims arising from names, trademarks, artwork, content or other material selected or supplied by you. Where liability cannot legally be excluded, liability is limited only to the extent permitted by applicable law. Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability arising from fraud, fraudulent misrepresentation, wilful misconduct or other liability that applicable law does not permit the parties to exclude.

[23] Reporting technical problems or infringement

[24] Changes to prices and licences

Lay by the Lake may change the prices, features or licence options offered to new users. For example, the price or export allowance offered with a new Personal License may change over time. Such changes do not automatically alter the price already paid for an existing Personal License. Where Lay by the Lake proposes a material change to an existing paid digital service or licence, that change will be handled in accordance with applicable law and any required notice will be provided. No change to these Terms retroactively converts an authorised past use into an unauthorised use.

[25] Changes to these Terms

These Terms may be updated to reflect:

The current version will be published with a revised “Last updated” date. Where required by law, users will receive additional notice before a material change takes effect. Continued use of the Service after revised Terms take effect constitutes acceptance of those revised Terms only to the extent permitted by applicable law. Rights already granted under a specific written Commercial License remain governed by that licence unless otherwise agreed.

[27] Governing law and disputes

These Terms are governed by Danish law. If you are a consumer, this choice of law does not remove mandatory protections available to you under the law that would otherwise apply in the country where you habitually reside. Disputes are subject to the courts or consumer dispute-resolution bodies determined by applicable law. Where possible, you are encouraged to contact Lay by the Lake first so that an issue can be resolved informally.

[28] Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions remain in effect. Any invalid provision will be interpreted, limited or replaced only to the minimum extent necessary to make it lawful and enforceable while preserving its intended purpose as closely as possible.

[29] Entire agreement and Commercial Licenses

These Terms govern general use of the Service. A separately issued Commercial License may contain additional or different terms relating to a particular commercial use. If there is a conflict between these Terms and an expressly agreed written Commercial License, the Commercial License takes precedence only in relation to the commercial rights covered by that licence. No informal conversation, social media message or other communication changes these Terms or grants commercial rights unless the operator expressly confirms that permission in writing.
